These Terms of Service ("Terms") govern your access to and use of the FirmOffer platform, operated by FirmOffer LLC ("FirmOffer," "we," "us," or "our"), a Texas limited liability company. By accessing or using FirmOffer, you agree to be bound by these Terms. If you do not agree, do not use the platform.
FirmOffer is an SMS-based lead generation platform designed for licensed automobile dealerships. The platform enables dealerships to send trade-in offer notifications to their service customers via text message, manage incoming leads through a web-based dashboard, and facilitate the delivery of personalized vehicle appraisal offers by human appraisers.
FirmOffer is a technology platform only. We do not appraise vehicles, set offer prices, or make purchasing decisions. All offers sent through the platform are created, reviewed, and approved by the dealership's designated appraiser.
FirmOffer is available exclusively to licensed automobile dealerships operating in the United States. By using FirmOffer, you represent that:
Each FirmOffer account corresponds to a single dealership rooftop. Dealer groups operating multiple locations must maintain a separate account for each location. Customer data, leads, offer history, and performance metrics are isolated per account and are not shared across locations.
By using FirmOffer to send SMS messages to your service customers, you agree to the following:
You are solely responsible for ensuring that your use of FirmOffer's SMS features complies with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, CTIA guidelines, and all applicable carrier regulations including A2P 10DLC requirements.
Specifically, you agree that:
FirmOffer reserves the right to suspend or terminate access for any dealership found to be misusing the SMS features or violating applicable messaging laws or carrier guidelines.
FirmOffer does not automatically generate, send, or approve vehicle offers. FirmOffer is a communications platform — a channel through which dealerships deliver human-reviewed offers to their customers. FirmOffer does not appraise vehicles, determine market value, or set offer prices at any point in the process.
The dealership's designated appraiser is solely responsible for:
The dealership is solely liable for any offer amounts communicated to customers through the platform, any commitments made to customers via SMS, and any disputes, claims, or obligations arising from the trade-in offer process. FirmOffer bears no responsibility for errors in offer amounts, miscommunications, or any outcome resulting from the dealership's use of the platform.
You agree not to use FirmOffer to:
FirmOffer strives to maintain platform availability at all times but does not guarantee uninterrupted access. We may perform scheduled or emergency maintenance that temporarily affects platform availability. We are not liable for any losses arising from platform downtime, delays in message delivery, or service interruptions caused by third-party providers including Twilio or cloud infrastructure providers.
Access to FirmOffer is provided on a subscription basis. Applicable fees will be communicated to dealerships prior to activation and are subject to change with reasonable notice. All fees are non-refundable except where required by law. FirmOffer reserves the right to suspend access for accounts with unpaid balances.
All software, design, content, and technology comprising the FirmOffer platform are the exclusive property of FirmOffer LLC. Nothing in these Terms grants you any ownership interest in the platform. You may not copy, modify, distribute, or create derivative works based on FirmOffer without express written permission.
To the maximum extent permitted by applicable law, FirmOffer LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to lost profits, lost leads, or damages arising from SMS delivery failures or carrier filtering.
FirmOffer's total liability to any dealership for any claim arising under these Terms shall not exceed the total fees paid by that dealership to FirmOffer in the three months preceding the claim.
You agree to indemnify, defend, and hold harmless FirmOffer LLC and its officers, employees, and agents from and against any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, or your violation of any applicable law or third-party right.
Either party may terminate access to FirmOffer at any time with reasonable notice. FirmOffer reserves the right to immediately suspend or terminate access for violations of these Terms, misuse of the SMS platform, or non-payment of fees. Upon termination, your right to access the platform ceases immediately.
All customer data associated with a terminated account — including contact information, vehicle details, SMS conversation history, and offer records — will be automatically and permanently deleted within 30 days of the termination date. This deletion is irreversible. Dealerships are encouraged to export any records they wish to retain prior to terminating their account.
Customer data belongs to the dealership. FirmOffer stores it solely as a service provider and does not retain it beyond the 30-day deletion window following account termination.
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Bexar County, Texas.
FirmOffer may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.
